Terms of sale

Article 1 - Seller

Courses and products offered under the Uwewer brand are sold by TGMASTER HOLDING, a French simplified joint-stock company (SASU) with a share capital of €10,000, registered office: 86 bis rue de la République, 92800 Puteaux, France, Nanterre Trade and Companies Register 917 978 280, EU VAT number FR92917978280 (hereinafter "Uwewer").

Article 2 - Scope

2.1 These general terms of sale (terms) apply to any registration or order placed with Uwewer, on the uwewer.com website or by any other means.

2.2 Where necessary, they distinguish between the individual customer, who acts in a personal capacity and pays for their own training, and the business customer (company, school, public body, funding organisation).

2.3 Any registration implies acceptance of these terms. For business customers, the specific terms of a signed quote or training agreement prevail over these terms.

Article 3 - Offers

Uwewer offers:

  • free discovery sessions, online, with no commitment;
  • paid courses, online or in person, on Oracle ERP Cloud Fusion learning paths;
  • e-learning modules, available on the Uwewer platform;
  • tailor-made programmes for companies and schools, on quotation;
  • practical books and guides, in digital or printed form.

The content, duration, prerequisites, terms and price of each offer are specified on its presentation page or in the quote.

Article 4 - Registration and order

4.1 Registration is made online on uwewer.com, or by quotation for business customers.

4.2 For an e-learning module or a digital product, the order is confirmed upon receipt of payment. For a paid course online or in person, the registration of an individual customer is confirmed upon signature of the training contract provided for in article 7.4; that of a business customer, upon receipt of the signed training agreement or quote. Uwewer then sends a confirmation email specifying the course, the dates, the access arrangements and the price.

4.3 Free discovery sessions are available on simple registration, subject to available seats. Uwewer may ask for attendance confirmation before the session and allocate unconfirmed seats to other registrants.

4.4 Archiving: when an individual customer's order amounts to €120 including VAT or more, Uwewer keeps the written record of the contract for 10 years from its conclusion and makes it available to the customer on simple request to contact@uwewer.com (articles L213-1 and D213-1 of the French Consumer Code).

Article 5 - Prices and VAT

5.1 Prices are stated in euros. For individual customers, they are shown including all taxes. For business customers, they are stated excluding VAT, which is added at the applicable rate.

5.2 As long as Uwewer does not benefit from the VAT exemption applicable to continuing vocational training, courses are subject to VAT at 20%. Once the exemption is obtained, eligible courses will be invoiced without VAT (article 261-4-4° a of the French General Tax Code), which will be stated on quotes and invoices.

5.3 The applicable price is the one displayed at the time of registration. Any travel and accommodation costs of participants remain at their expense, unless otherwise stated in the quote.

Article 6 - Payment

6.1 Individual customers: online payment by bank card, Apple Pay, Google Pay or Revolut Pay (via Revolut) or by mobile payment (Orange Money, MTN Mobile Money, Wave, via a mobile payment provider). E-learning modules and products are paid at the time of the order. Courses online or in person are paid according to the schedule in article 7.4: no payment before the end of the 10-day withdrawal period, then 30% of the price at most, the balance as the course progresses.

6.2 Business customers: payment by bank transfer upon receipt of the invoice, within 30 days, unless otherwise provided in the quote. A 30% deposit may be requested upon signature.

6.3 Any late payment by a business customer gives rise to penalties equal to three times the French statutory interest rate and a fixed indemnity of €40 for recovery costs (article L441-10 of the French Commercial Code). Uwewer may suspend access to courses in the event of non-payment.

Article 7 - Right of withdrawal (individual customers)

7.1 The individual customer has 14 days from registration to withdraw, without giving any reason, by email to contact@uwewer.com or using the withdrawal form appended. Uwewer then refunds all sums paid within 14 days, using the same means of payment.

7.2 Course starting before the end of the period: if the customer expressly requests that the course start before the withdrawal period expires, they remain liable to pay for the part of the course already followed on the date of withdrawal. If they have followed the entire course before that date, they can no longer withdraw.

7.3 E-learning modules and digital content: the customer loses their right of withdrawal as soon as they access the content, if they have given their express consent to this immediate access and acknowledged that they thereby lose their right of withdrawal. This consent is obtained by a checkbox at the time of purchase. Uwewer confirms this consent and waiver by email at the time of the order (article L221-13 of the French Consumer Code).

7.4 Courses online or in person paid for by an individual: when an individual customer pays for a paid course online or in person themselves, which constitutes a vocational training action, a written training contract is concluded with them before the course starts, in accordance with articles L6353-3 et seq. of the French Labour Code. The programme, objectives, prerequisites, assessment methods, price, payment terms and internal rules are provided to them before signature (article L6353-8). They have 10 days from the signature of this contract to withdraw, by registered letter with acknowledgement of receipt (article L6353-5). No payment may be required before the end of this period; after it, payment may not exceed 30% of the agreed price, the balance being spread as the course progresses (article L6353-6). For these courses, these provisions prevail over articles 6.1 and 7.1.

Article 8 - Cancellation or postponement by the customer

8.1 Courses online or in person, in the event of written cancellation by the customer (other than the exercise of the right of withdrawal):

  • more than 14 days before the start: full refund, or free transfer to another session;
  • between 14 and 7 days before the start: 50% of the price remains due, or free transfer to a session within the following six months;
  • less than 7 days before the start, or absence without notice: the full price remains due. A transfer to a session within the following six months remains possible once, on request.

8.2 The customer may at any time be replaced by another person with the same profile, free of charge, by notifying Uwewer before the course starts.

8.3 Any course that has started is due in full, except in a duly justified case of force majeure, in which case only the hours attended are invoiced. For courses covered by article 7.4, if the participant drops out or Uwewer ends the course early, only the services actually provided are due, in proportion to their value set out in the contract (article L6354-1 of the French Labour Code).

8.4 Free discovery sessions may be cancelled at any time, free of charge.

Article 9 - Cancellation or postponement by Uwewer

9.1 Uwewer may cancel or postpone a session if the number of participants is insufficient, if the trainer is unavailable or in the event of force majeure. The customer is informed as soon as possible and, except in the event of force majeure, at least 5 working days before the scheduled date.

9.2 The customer then chooses between a free postponement to a new date and a full refund of the sums paid, within 14 days. No other compensation is due.

Article 10 - Course delivery

10.1 Online: sessions take place on Microsoft Teams or an equivalent tool. The link is sent by email after registration. The participant ensures they have a computer, a sufficient internet connection and a suitable environment.

10.2 In person: the venue, times and access conditions are specified in the registration confirmation. The participant complies with the rules of the host venue.

10.3 Practice on Oracle: when the course includes exercises on an Oracle ERP Cloud Fusion training instance, access is personal, limited to the duration of the course and reserved for educational use.

10.4 Recordings: sessions may be recorded to be made available to participants as replays, for 12 months at most. Participants are informed before recording starts; if they do not wish to appear, they may keep their camera and microphone off and ask their questions in writing. A replay published on the website and accessible to people other than the participants shows neither the image nor the voice of participants, unless they have given written consent.

10.5 Accessibility: any person with a disability may contact Uwewer before registering, at contact@uwewer.com, to discuss possible adjustments.

10.6 Internal rules: Uwewer's internal rules, drawn up in accordance with articles L6352-3 et seq. of the French Labour Code, apply to participants in courses online or in person. They are available on uwewer.com and provided before final registration.

Article 11 - Access to e-learning modules

11.1 The purchase of an e-learning module gives personal access for 12 months from its activation, unless a different duration is stated on the module page.

11.2 Updates to the module published during this period are included.

11.3 Login details are strictly personal. Any account sharing may lead to suspension of access, without refund.

11.4 Uwewer strives to ensure the availability of the platform, but cannot guarantee uninterrupted access, in particular in the event of maintenance or technical incident.

Article 12 - Certificates

At the end of a course followed in full, the participant receives a training certificate in their name. For business customers, a certificate of attendance is also provided. Uwewer certificates are not an official Oracle certification.

Article 13 - Tailor-made programmes and business customers

13.1 Tailor-made programmes are subject to a quote specifying the objectives, content, duration, arrangements, number of participants and price. The quote is valid for 30 days.

13.2 A training agreement is drawn up for each vocational training action, in accordance with the French Labour Code.

13.3 In the event of funding by a skills operator (OPCO) or another funder, it is the customer's responsibility to obtain approval of funding before the course starts. Failing approval or payment by the funder, the customer pays Uwewer directly. Funding by an OPCO, by the personal training account (CPF) or by another public or pooled funder requires the course to be eligible and Uwewer to meet the conditions set by that funder, in particular Qualiopi certification (article L6316-1 of the French Labour Code); the quote states whether this is the case.

13.4 The cancellation terms of article 8 apply, unless otherwise provided in the quote or training agreement.

Article 14 - Books and practical guides

14.1 Purchase on a third-party platform (for example Amazon): sale, payment, delivery and returns are governed by that platform's terms.

14.2 Direct purchase on uwewer.com (digital version): the file is provided for strictly personal use. Any reproduction, distribution or resale is prohibited. The customer loses their right of withdrawal upon download, if they have given their express consent and acknowledged losing this right at the time of purchase.

14.3 Direct purchase of a printed version: the individual customer has 14 days from receipt to withdraw and return the book in good condition, at their own expense.

14.4 Delivery of printed versions: the book is delivered to the address given by the customer, in the countries offered when ordering. Delivery costs and time are stated before the order is confirmed; if no time is stated, the book is delivered no later than 30 days after the order (article L216-1 of the French Consumer Code). In the event of delay, the customer may, after asking Uwewer to deliver within a reasonable additional period, cancel the order and be refunded within 14 days (articles L216-6 and L216-7). The risk of loss or damage passes to the customer upon receipt of the book (article L216-4).

Article 15 - Legal guarantees

15.1 The legal guarantees below benefit the individual customer for printed books (goods) and for e-books and e-learning modules (digital content and services). They apply independently of any commercial guarantee; Uwewer does not offer a commercial guarantee. To claim under a guarantee, the customer writes to contact@uwewer.com describing the defect.

15.2 Printed books: legal guarantee of conformity (articles L217-3 et seq. of the French Consumer Code). The customer has two years from delivery of the goods to claim under the legal guarantee of conformity if a lack of conformity appears. During this period, they only need to establish the existence of the lack of conformity, not the date it appeared. The guarantee entitles them to repair or replacement of the goods within thirty days of their request, free of charge and without major inconvenience; in the event of repair, the goods benefit from a six-month extension of the original guarantee. The customer may obtain a price reduction while keeping the goods, or terminate the contract and obtain a full refund against return of the goods, if Uwewer refuses to repair or replace the goods, if repair or replacement takes more than thirty days or causes major inconvenience, or if the lack of conformity persists. They do not have to request repair or replacement first when the defect is so serious that it justifies an immediate price reduction or termination of the contract.

15.3 E-books and e-learning modules: legal guarantee of conformity for digital content and services (articles L224-25-12 et seq. of the French Consumer Code). For content supplied once, such as an e-book, the customer has two years from its supply to claim under the guarantee; for one year from that date, they only need to establish the existence of the lack of conformity. For an e-learning module, supplied continuously, the guarantee applies throughout the access period provided for in article 11, during which the customer only needs to establish the existence of the defect. The guarantee includes the obligation to supply the updates necessary to keep the content in conformity. The customer is entitled to have the content brought into conformity without undue delay, free of charge and without major inconvenience; failing this, or if the lack of conformity persists, they may obtain a price reduction or terminate the contract and obtain a full refund.

15.4 Guarantee against hidden defects (articles 1641 to 1649 of the French Civil Code): the customer may also take action within two years of discovering the defect. They then choose between a price reduction and cancellation of the sale with a full refund, against return of the goods.

15.5 A professional who, in bad faith, obstructs the implementation of the legal guarantee of conformity is liable to a civil fine of up to €300,000, which may be increased to 10% of average annual turnover (article L241-5 of the French Consumer Code).

Article 16 - No guarantee of results

Uwewer undertakes to implement all the means necessary for the quality of its courses (obligation of means). Success in a certification, or obtaining an internship, a job or an assignment, cannot be guaranteed: it depends in particular on the participant's commitment and on the decisions of the companies and third parties concerned.

Article 17 - Intellectual property

Training materials, videos, replays, exercises, quizzes, books and platform content are the property of Uwewer or its partners. They are made available for strictly personal use. Any reproduction, distribution, resale or making available to third parties, even partial, is prohibited without written permission. Recording sessions by your own means is also prohibited.

Oracle and Oracle Fusion are trademarks of Oracle Corporation. Uwewer is neither affiliated with nor endorsed by Oracle.

Article 18 - Liability

Uwewer's liability is limited to direct and foreseeable damage, up to the price paid for the course concerned, except in the event of gross negligence or wilful misconduct. Uwewer is not responsible for connection difficulties related to the participant's equipment or internet access.

Article 19 - Personal data

Data collected during registration is processed by TGMASTER HOLDING to manage registrations, educational follow-up, invoicing and customer relations. Processing arrangements and individuals' rights (access, rectification, erasure, objection) are detailed in the privacy policy, available on uwewer.com.

Article 20 - Force majeure

Neither party is liable for a failure caused by an event of force majeure within the meaning of article 1218 of the French Civil Code.

Article 21 - Complaints and mediation

21.1 Any complaint should be sent to contact@uwewer.com. Uwewer responds within 15 days.

21.2 If a dispute is not resolved, the individual customer may refer it free of charge to the consumer mediator: CM2C (Centre de la médiation de la consommation de conciliateurs de justice), 49 rue de Ponthieu, 75008 Paris, France, www.cm2c.net, within one year of their written complaint.

Article 22 - Governing law and disputes

These terms are governed by French law. Failing an amicable solution, disputes with an individual customer fall within the jurisdiction of the courts competent under the law. Disputes with a business customer fall within the jurisdiction of the Commercial Court of Nanterre.
